Welcome to CarDealershipGuy LLC ("Car Dealership Guy," "CDG," "we," "us," or "our"). By accessing or using our websites, newsletters, podcasts, events, digital communities, software platforms, applications, benchmarking tools, analytics products, or other related services (collectively, the "Services"), you agree to these Terms of Use ("Terms").

If you do not agree to these Terms, do not access or use the Services.

About Our Services

Car Dealership Guy provides content, insights, community resources, software products, benchmarking tools, vendor intelligence, analytics, recruiting, consulting, events, and professional networking opportunities for automotive professionals.

Our Services include, without limitation:

  • Editorial content

  • Newsletters

  • Podcasts

  • Events

  • Recruiting services

  • Consulting services

  • CDG Circles

  • CDG Marketplace

  • CDG Pulse

  • CDG Platform

  • Vendor reviews and ratings

  • Benchmarking tools

  • Analytics products

  • Community forums and discussions

We may modify, suspend, discontinue, or replace any portion of the Services at any time without notice.

Eligibility

You must be at least 18 years old or the legal age of majority in your jurisdiction to use the Services.

By using the Services, you represent and warrant that you meet this requirement.

Acceptable Use

You agree to use the Services lawfully and responsibly.

You will not:

  • Copy, distribute, reproduce, republish, or exploit Service content without written permission

  • Use the Services for fraudulent, deceptive, unlawful, or unauthorized purposes

  • Post or transmit defamatory, obscene, abusive, harassing, threatening, or unlawful content

  • Attempt to gain unauthorized access to systems, accounts, networks, or data

  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

  • Interfere with or disrupt the Services

  • Scrape, harvest, extract, crawl, or collect information from the Services through automated means

  • Use bots, AI agents, machine learning systems, browser extensions, crawlers, spiders, or automated tools to collect or analyze Service content without written authorization

  • Use Service content to train artificial intelligence systems, large language models, machine learning models, recommendation systems, or similar technologies without our prior written consent

  • Use the Services or Service content to create, support, benchmark, improve, market, or operate a competing product or service

We may suspend or terminate access for violations of these Terms or conduct that harms CDG, its members, partners, customers, vendors, or community.

Intellectual Property

All content made available through the Services, including articles, podcasts, videos, graphics, software, databases, reports, rankings, analytics, trademarks, logos, designs, text, and other materials, is owned by or licensed to Car Dealership Guy and is protected under applicable intellectual property laws.

Benchmarking data, aggregated market intelligence, dealer insights, vendor intelligence, rankings, scores, reports, analytics, trend analyses, and derivative datasets generated through the Services are proprietary intellectual property of Car Dealership Guy regardless of the underlying source data used to create them.

You may not reproduce, republish, distribute, sell, license, modify, create derivative works from, or commercially exploit Service content without prior written consent.

Limited quotation and linking with attribution is permitted provided such use does not misrepresent the content or imply endorsement.

User-Generated Content and License

By submitting, posting, uploading, or otherwise providing content to Car Dealership Guy, including reviews, comments, ratings, survey responses, benchmark submissions, testimonials, feedback, recommendations, community posts, and similar materials ("User Content"), you grant Car Dealership Guy a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, analyze, aggregate, and otherwise exploit such User Content in connection with operating, improving, marketing, developing, and commercializing the Services.

This license includes the right to use User Content in anonymized, aggregated, transformed, statistical, or derivative form for benchmarking, rankings, analytics, market intelligence, vendor intelligence, research, editorial content, and related commercial products.

Except where expressly authorized by the contributor, Car Dealership Guy will not knowingly attribute User Content to an identifiable individual, dealership, or business.

CDG Platform, Marketplace, Pulse, Vendor Intelligence, and Benchmarking

The CDG Platform, including CDG Circles, Marketplace, Pulse, benchmarking products, vendor reviews, dealer ratings, rankings, analytics, surveys, market intelligence, and community discussions (collectively, the "Platform"), contains information submitted by users and third parties.

Users are solely responsible for content they contribute.

Car Dealership Guy does not independently verify all Platform Content and makes no representation regarding its accuracy, completeness, reliability, legality, or truthfulness.

All opinions, ratings, reviews, recommendations, rankings, and statements submitted by users belong solely to those contributors and do not necessarily reflect the views of Car Dealership Guy.

Users acknowledge that Car Dealership Guy may collect, aggregate, analyze, anonymize, transform, and commercialize dealership, vendor, operational, market, survey, and community information submitted through the Platform.

Any benchmarks, rankings, scores, reports, analytics, trend analyses, vendor intelligence, market intelligence, research products, aggregated datasets, or derivative works generated by Car Dealership Guy are owned exclusively by Car Dealership Guy and constitute proprietary intellectual property.

No user acquires ownership rights in any benchmark, report, ranking, score, analytics product, dataset, or derivative work generated through the Services.

Community Participation and Confidentiality

If you participate in CDG Circles or any other private or restricted-access community, you agree to:

  • Treat community discussions as confidential

  • Respect other members

  • Avoid spam, solicitation, or abusive conduct

  • Not record, screenshot, photograph, publish, share, disclose, distribute, or retransmit private discussions without authorization

Content shared within private communities, dealer groups, member-only forums, workshops, and restricted-access channels is considered confidential unless expressly designated otherwise.

Users may not publicly disclose or redistribute confidential community content without permission from both Car Dealership Guy and the applicable contributor.

We may remove, suspend, or ban members who violate these standards.

Restrictions on Redistribution

Platform Content is provided solely for the internal business use of authorized users.

Unless expressly authorized in writing by Car Dealership Guy, users may not:

  • Copy Platform Content

  • Record Platform Content

  • Screenshot Platform Content

  • Download Platform Content

  • Republish Platform Content

  • Sell Platform Content

  • License Platform Content

  • Share Platform Content with third parties

  • Create derivative works from Platform Content

Unauthorized redistribution may result in termination of access and legal action.

No Data Mining, Scraping, or Automated Collection

Users may not use bots, crawlers, spiders, scraping tools, AI agents, browser extensions, machine learning systems, automated scripts, data extraction tools, or similar technologies to access, collect, reproduce, analyze, index, store, or exploit Service content without prior written consent.

Consent and Opt-In

Certain products, features, or Services may require explicit consent before User Content is used outside its original context.

Where required, consent may be obtained through submission forms, checkboxes, agreements, surveys, platform workflows, or similar affirmative actions.

Silence or continued use of the Services does not constitute consent where consent is otherwise required.

Content Standards

Car Dealership Guy reserves the right to review, moderate, edit, remove, reject, or restrict User Content that violates applicable law, these Terms, or the rights of others.

We are under no obligation to monitor all User Content.

Disclaimers

The Services and all content are provided on an "as is" and "as available" basis.

Content is provided for informational purposes only and does not constitute legal, financial, investment, employment, tax, operational, business, or professional advice.

Car Dealership Guy makes no warranties, express or implied, regarding the accuracy, reliability, availability, completeness, or fitness for a particular purpose of any content or Service.

Users are solely responsible for evaluating and verifying information before relying upon it.

Limitation of Liability

To the fullest extent permitted by law, CarDealershipGuy LLC and its officers, employees, contractors, affiliates, licensors, and partners shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or relating to the Services.

This includes damages relating to:

  • Errors or omissions in content

  • User-generated content

  • Vendor reviews

  • Dealer ratings

  • Benchmark submissions

  • Survey responses

  • Community discussions

  • Platform analytics

  • Service interruptions

  • Data loss

  • Unauthorized access

  • Business decisions made in reliance on Service content

Car Dealership Guy shall have no liability arising from or relating to reviews, ratings, comments, recommendations, vendor evaluations, benchmarking submissions, survey responses, community discussions, or other third-party content.

Our total aggregate liability shall not exceed one hundred U.S. dollars ($100).

Third-Party Links

The Services may contain links to third-party websites, products, services, vendors, or partners.

Such links are provided for convenience only and do not constitute endorsement.

Car Dealership Guy is not responsible for third-party content, products, services, or privacy practices.

Termination

We may suspend, restrict, or terminate access to the Services at any time, with or without notice, for any reason.

Upon termination, all rights granted to you under these Terms immediately cease.

Governing Law

These Terms shall be governed by and construed under the laws of the State of Delaware, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware.

You consent to the personal jurisdiction and venue of those courts.

No Retroactive Application

The User Content, benchmarking, consent, and Platform-related provisions apply prospectively only and do not grant Car Dealership Guy rights to publicly reuse content submitted before the effective date of these Terms unless otherwise authorized by the contributor.

Changes to These Terms

We may update these Terms from time to time.

Updated versions will be posted with a revised effective date.

Continued use of the Services following publication of revised Terms constitutes acceptance of the updated Terms.
